The Function and Legal Importance of Tenant Estoppel Certificates
An estoppel certificate is a legally binding statement signed by an existing commercial tenant verifying the true operational status of their lease. Once signed, the tenant is legally precluded ("estopped") from asserting contrary facts against the buyer or lender in future litigation.
Underwriters review estoppels line-by-line against the underlying lease agreement to detect hidden issues that certified rent rolls do not disclose:
Critical Estoppel Disclosures
- Verification that the lease is unmodified and in full force and effect.
- Commencement and expiration dates, including unexercised renewal options.
- Current base rent amount and date through which rent has been paid in advance.
- Outstanding tenant improvement (TI) allowances or unexpired free rent concessions.
- Explicit confirmation that the landlord has fulfilled all build-out obligations and is not in default.
